• The accuracy, completeness, or reliability of any service deliverables
• Specific performance improvements or cost savings
• Compatibility with your existing systems or infrastructure
• Uninterrupted or error-free operation of delivered solutions
• Achievement of specific business outcomes or results

4.2 Technical Disclaimer

While we strive for excellence in all our technical solutions:

• AI/ML models may produce unexpected or inaccurate results
• Performance metrics are estimates and may vary based on implementation environment
• Software and code provided are subject to dependencies and third-party services
• Optimization results depend on various factors beyond our control
• Security vulnerabilities may exist despite our best efforts

4.3 No Guarantee of Results

NavyaAI does not guarantee specific outcomes, performance improvements, cost savings, or return on investment from our services. All estimates, projections, and expected results are provided for informational purposes only and should not be relied upon as guarantees.

When using our services, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of any account credentials
• Use our services in compliance with all applicable laws and regulations
• Not use our services for any unlawful, harmful, or malicious purposes
• Not attempt to reverse engineer, decompile, or disassemble our proprietary solutions
• Properly test and validate all deliverables before production deployment
• Maintain appropriate backups of your data and systems

6. Intellectual Property Rights

6.1 NavyaAI Intellectual Property

All content, materials, software, code, designs, logos, trademarks, and other intellectual property on our website and in our deliverables remain the property of NavyaAI or our licensors, unless explicitly transferred in writing.

6.2 Client Intellectual Property

You retain all rights to your pre-existing intellectual property. By engaging our services, you grant us a limited license to use your materials solely for the purpose of providing our services.

6.3 Custom Development

Ownership of custom-developed solutions will be specified in individual project agreements. Unless otherwise agreed in writing, NavyaAI retains rights to all methodologies, frameworks, tools, and general knowledge developed during service delivery.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary and sensitive information disclosed during the course of our engagement. This obligation survives termination of services.

Confidential information does not include information that: (a) is or becomes publicly available through no breach of this agreement; (b) is lawfully received from a third party; (c) was already known prior to disclosure; or (d) is independently developed.

8. Payment Terms

Payment terms for services will be specified in individual project agreements or statements of work. Generally:

• All fees are quoted in Indian Rupees (INR) or US Dollars (USD)
• Payment schedules will be defined in project agreements
• Invoices are due within 15-30 days unless otherwise specified
• Late payments may incur interest charges as per applicable law
• All fees are exclusive of applicable taxes (GST, etc.)

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• NavyaAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising from our services shall not exceed the fees paid by you for the specific service giving rise to the claim in the 12 months preceding the claim
• We are not liable for damages resulting from: (a) your misuse of our services; (b) third-party actions; (c) force majeure events; (d) your failure to implement recommendations; or (e) unauthorized access to your systems
• We are not liable for loss of profits, data, revenue, business opportunities, or business interruption

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

You agree to indemnify and hold harmless NavyaAI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any applicable laws; or (d) your violation of third-party rights.

11.1 Term

These Terms remain in effect while you use our website or services. Individual project agreements will specify their own terms and duration.

11.2 Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any breach of these Terms. Upon termination:

• Your right to use our services ceases immediately
• You must cease all use of our intellectual property
• Payment obligations for services rendered remain due
• Confidentiality obligations continue

Our website may contain links to third-party websites or services (including our products: Finbot, LexHelm, Sinthora, and services like Cal.com). We are not responsible for the content, privacy policies, or practices of third-party sites. Your use of third-party services is at your own risk and subject to their terms and conditions.

13. Force Majeure

NavyaAI shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

14. Dispute Resolution

14.1 Negotiation

In the event of any dispute arising from these Terms or our services, the parties agree to first attempt to resolve the dispute through good faith negotiations.

14.2 Arbitration

If the dispute cannot be resolved through negotiation within 30 days, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually agreed upon by both parties. The seat of arbitration shall be Andhra Pradesh, India.

14.3 Jurisdiction

These Terms shall be governed by the laws of India. Subject to the arbitration clause above, the courts of Andhra Pradesh, India shall have exclusive jurisdiction over any disputes.

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Infringe upon the intellectual property rights of others
• Transmit any harmful code, viruses, or malicious software
